As specified in Decree of the President of the Russian Federation No. 198 of 19 March 2024 “On Additional Temporary Economic Measures Related to the Fulfilment of Obligations for Certain Securities” (“Decree 198”), certain categories of holders of Eurobonds the rights to which are recorded by foreign custodians may receive payments falling due after 19 March 2024.
In accordance with paragraph 11 of Decree 198, VEB.RF resolved that coupon income from Eurobonds of VEB Finance plc, ISIN XS0559915961, (the “Eurobonds”) the rights to which are recorded by foreign custodians, would be paid into the bank accounts of the identified holders of the Eurobonds, provided that their claims shall be verified with the involvement of a Russian custodian. On 5 August 2025, payments to such holders of the Eurobonds were transferred by VEB.RF in Russian roubles into their accounts with Russian credit institutions.
On 5 August 2025, the balance of coupon income from the Eurobonds was transferred by VEB.RF into the Type S account opened with National Settlement Depository in favour of a foreign paying agent (The Bank of New York Mellon, London Branch), in Russian roubles, at the Bank of Russia’s exchange rate as at 22 May 2025.
The obligations to pay coupon income from the Eurobonds to the Russian residents and residents of friendly countries whose securities are registered in the custody accounts opened with Russian custodians were fulfilled by VEB.RF on 22 May 2025.
