As part of the Pure Water-2010 International Forum, Evraziyskiy Ltd. and French Company Egis Ingenierie SA with the participation of State Corporation ‘Bank for Development and Foreign Economic Affairs (Vnesheconombank)’ entered into a Shareholders’ Agreement.
The Agreement was signed by Evraziyskiy Ltd. Director General Sergei Yashechkin, Director of Foreign Branches of Egis Ingeneirie SA Vincent Terasson and Management Board Member, Vnesheconombank Deputy Chairman Anatoly Ballo.
Under the Agreement the parties intend to establish a joint Russian-French Company LLC Egis – Iosis Evraziyskiy Engineering. The Company is to be responsible for providing services on engineering, designing as well as on managing and monitoring projects in infrastructure, construction, communal services, power and water supply services, water disposal, household refuse collection and recycling, flood control, development of tourist-recreation areas including ski resorts.
The Agreement also provides for creating a joint Holding Company on the territory of France. The Agreement specifies shareholders’ operational procedures and liabilities in the course of managing and coordinating activity of joint Russian-French Company LLC Egis - Iosis Evraziyskiy Engineering on the territory of the Russian Federation.
Evraziyskiy Ltd. is one of Russia’s leading companies operating in the infrastructure sector. The Company’s charter capital is 4 billion rubles. The Company is responsible for implementing long-term investment projects in the water supply and water disposal sector in Rostov-on-Don, Sochi and a number of cities in the Krasnodar region. In 2009 EGIS and IOSIS announced their merger to create a French leader in construction and engineering. The EGIS-IOSIS Alliance owes its success to complementary cooperation of its all participants. The Alliance is highly experienced in infrastructure, project development and construction; it has become stronger because 34% of shares is owned by EGIS.
State Corporation ‘Bank for Development and Foreign Economic Affairs (Vnesheconombank)’ was established under the Federal Law “On Bank for Development” by way of reorganizing Vnesheconombank of the USSR. Vnesheconombank is a development institution, its activity is aimed at removing economic growth infrastructure restrictions, enhancing natural resources utilization efficiency, developing high-technology industries, unlocking innovative and industrial potential of small and medium-sized enterprises, promoting exports of industrial products and services.
Vnesheconombank is one of Evraziyskiy's Ltd. principal shareholders, it owns 19.9975% of the Company’s shares.
